Step 1: Prepare for upcoming board meeting presentation, by researching and preparing  report on the law. Focus research on the following areas, which should be included in the report: 

 

  1. The potential liability of individual directors for a ransomware attack under the Corporations Act
  2. The potential liability of individual directors for a ransomware attack under Australian Prudential Standard CPS234
  3. An explanation of Australia’s Ransomware Action Plan, 2021. 

 

 outline the nature and extent of the legal obligations imposed by (a) and (b), as well as what organisation needs to do to comply with (c).  

 

You should include a discussion of likely upcoming law reforms in this area, including the possible passing of new ransomware legislation. 

 

Step 2: Write  Board Report using the following structure:

  • Executive summary
  • Start with a short statement clearly explaining what you are asking of the directors, then write a succinct paragraph that summarises your whole report. They should be able to understand your whole report just from the executive summary. 
  • It should include your scope, main points, and a summary of your findings and recommendations. 
  • Note: Some people find it easier to write this section last after they have written the rest of their report.

  • This is where you give a clear and short summary of your recommendations to the Board. It should include:
  • the recommendation/s you are making to the board that you want them to pass/decide on (major cyber security systems updates and new software, how the organisation can be seen as a ‘good corporate citizen’ and the preparation needed regarding law reforms around ransomware). Remember to include:
  • the reason why you want the board to accept the recommendation/s
  • evidence from your research and findings to support your recommendation/s.

  • This section should provide enough information to enable a Board member to understand the issues and form an opinion on the correct outcome.
  • This is where you would explain:
